These Terms and Conditions govern your use of the Ingedelo website and platform (the “Site”) operated by Signal Data Group Limited, trading as Ingedelo (“Ingedelo”, “we”, “us”, “our”), registered in England and Wales, Company No. 17008811.

By accessing or using the Site, you agree to be bound by these Terms. If you do not agree, please do not use the Site.

These Terms are governed by the laws of England and Wales.

Part A: Website Use

A1. Access and Use

You may access and use the Site for lawful purposes only. You agree not to:

  • Use the Site in any way that violates any applicable law or regulation.
  • Reproduce, redistribute, or commercially exploit any content from the Site without our prior written permission.
  • Use automated tools (including scrapers, bots, or crawlers) to extract data from the Site without our consent.
  • Introduce viruses, malware, or other harmful code.
  • Attempt to gain unauthorised access to any part of the Site or its associated systems.
  • Use the Site in any manner that could damage, disable, or impair its operation.

A2. Intellectual Property

All content on the Site — including text, editorial content, logos, data, graphics, and software — is owned by or licensed to Ingedelo and is protected by intellectual property laws. Nothing in these Terms grants you any rights in such content other than the right to access it for your personal, non-commercial use.

The Ingedelo name, logo, and brand elements are the proprietary marks of Signal Data Group Limited. You may not use them without our prior written consent.

A3. Editorial Independence

The editorial content published on the Site and in our newsletter is produced independently. Ingedelo does not accept payment in exchange for editorial coverage or positive reviews. Vendor listings are clearly distinguished from editorial content.

A4. User Accounts

Certain features of the Site require you to register for an account. You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. You must notify us immediately of any unauthorised use of your account.

You agree to provide accurate, current, and complete information when registering and to update it as necessary.

A5. Disclaimer of Warranties

The Site and its content are provided on an “as is” basis. To the fullest extent permitted by law, Ingedelo makes no warranties, express or implied, regarding the accuracy, completeness, or fitness for purpose of any content on the Site.

Vendor directory listings are provided for informational purposes. Inclusion in the directory does not constitute an endorsement by Ingedelo of any vendor, product, or service.

A6. Limitation of Liability

To the fullest extent permitted by law, Ingedelo shall not be liable for any indirect, incidental, special, or consequential losses arising from your use of, or inability to use, the Site — including loss of data, revenue, or business opportunity.

Nothing in these Terms limits our liability for death or personal injury caused by our negligence, fraud or fraudulent misrepresentation, or any other liability that cannot be excluded or limited by English law.

A7. Third-Party Links

The Site may contain links to third-party websites. These are provided for convenience only. We have no control over the content of those sites and accept no responsibility for them or for any loss or damage that may arise from your use of them.

A8. Changes to the Site

We reserve the right to modify, suspend, or discontinue any part of the Site at any time without notice. We may also update these Website Use Terms from time to time. Continued use of the Site following any change constitutes your acceptance of the revised Terms.

Part B: Commercial Bookings

B1. Overview

These Commercial Booking Terms apply to any purchase of a directory listing (Plus/Enhanced or Pro/Premium tier) made through the Site or agreed with Ingedelo directly. They should be read alongside Part A of these Terms.

By placing a booking, you (“the Customer”) confirm that you have authority to enter into a binding commercial agreement on behalf of your organisation.

B2. Listing Tiers and Descriptions

Ingedelo offers the following commercial listing tiers:

  • Plus (Enhanced Listing) — expanded directory presence with enriched categorisation and increased platform visibility.
  • Pro (Premium Listing) — full-featured listing with maximum visibility, priority placement, and inclusion in relevant editorial touchpoints.

The specific features and benefits of each tier are as set out on the Site at the time of booking. We reserve the right to update tier features at any time, provided that changes will not materially reduce the value of an active listing within its current term without prior notice.

B3. Minimum Term — Enhanced (Plus) Listings

The initial minimum term for any Enhanced (Plus) listing is twelve (12) months from the listing start date (“the Minimum Term”). The Customer is committed to payment for the full Minimum Term regardless of whether they wish to cancel or downgrade during that period.

This minimum term provision applies to all Enhanced listings, whether booked on an annual upfront basis or (where made available) on a monthly payment schedule. Where a Customer is paying monthly, the commitment is to a minimum of twelve monthly payments.

Following the expiry of the Minimum Term, the listing will continue on a rolling basis and may be cancelled with thirty (30) days’ written notice, unless renewed for a further fixed term.

B4. Premium (Pro) Listings

Premium (Pro) listings are offered on an annual basis. The billing period and renewal terms will be confirmed at the time of booking.

We may also offer a minimum term for Pro listings. Where a minimum term applies, it will be clearly stated in your booking confirmation.

B5. Pricing and Payment

All prices are as stated on the Site or in the applicable order confirmation and are exclusive of VAT unless otherwise stated. VAT will be charged at the applicable UK rate.

Payment is due in accordance with the payment schedule agreed at the time of booking:

  • Annual upfront: full payment is due at the time of booking.
  • Monthly (where available): the first payment is due at the time of booking, with subsequent payments due on the same calendar date each month.

Payments are processed via Stripe. By placing a booking, you authorise us to charge your chosen payment method in accordance with the agreed schedule. If a payment fails, we will notify you and may suspend your listing until payment is received.

B6. Cancellation and Refunds

During the Minimum Term: listings may not be cancelled, downgraded, or suspended during the Minimum Term (as defined in clause B3). No refunds will be issued for the unexpired portion of the Minimum Term.

After the Minimum Term: listings on a rolling basis may be cancelled with thirty (30) days’ written notice. No refund will be given for the notice period.

Annual upfront bookings (renewal terms): if a Customer does not wish to renew at the end of an annual term, they must notify us in writing at least thirty (30) days before the renewal date. Failure to do so may result in automatic renewal and an obligation to pay for the renewed term.

Ingedelo reserves the right to cancel a listing (with a pro-rata refund of any prepaid fees for the unexpired period, excluding the Minimum Term) if the Customer materially breaches these Terms.

B7. Listing Content

The Customer is responsible for providing accurate and complete content for their listing, including company description, sector classifications, contact details, and any other information requested. Ingedelo reserves the right to edit or remove content that is inaccurate, misleading, offensive, or in breach of applicable law.

By submitting content for a listing, the Customer grants Ingedelo a non-exclusive, worldwide, royalty-free licence to publish and reproduce that content on the Site and in associated editorial materials for the duration of the listing.

B8. Upgrades and Downgrades

Customers may upgrade their listing tier at any time. Upgrades will take effect immediately, and the price difference will be charged on a pro-rata basis for the remainder of the current billing period.

Downgrades to a lower tier are not permitted during the Minimum Term. After the Minimum Term, downgrades take effect at the start of the next billing period, subject to thirty (30) days’ notice.

B9. Renewal

Unless either party provides thirty (30) days’ written notice of non-renewal prior to the end of the then-current term, listings will automatically renew for a further equivalent period at the then-current list price. We will send a renewal reminder at least forty-five (45) days before the renewal date.

B10. Dispute Resolution

If you have a complaint or dispute regarding your booking, please contact us in the first instance at james@ingedelo.com. We will endeavour to resolve all disputes promptly and in good faith.

If a dispute cannot be resolved informally, it shall be subject to the exclusive jurisdiction of the courts of England and Wales.

B11. Changes to Commercial Terms

We reserve the right to update these Commercial Booking Terms at any time. Changes will apply to new bookings placed after the update date. We will provide at least thirty (30) days’ notice of any changes that materially affect existing active bookings.

General Provisions

Entire Agreement: these Terms, together with our Privacy Policy and any booking confirmation, constitute the entire agreement between you and Ingedelo in relation to the subject matter herein.

Severability: if any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.

Waiver: failure by Ingedelo to enforce any right under these Terms shall not constitute a waiver of that right.

Governing Law: these Terms are governed by the laws of England and Wales. You agree to submit to the exclusive jurisdiction of the courts of England and Wales.
